Meaning of Negotiable Instrument
Any written security such as a promissory note , a check , a draft or other bill of exchange which may be transferred by endorsement and delivery or by delivery only so as to vest title in the person who acquires the same in good faith and for value and which enables the transferee to sue on the instrument in his own name. Any defect in the transferor ‘s title will not be transmitted to the title of the transferee so long as the transferee is a holder in due course , who takes the instrument for value and in good faith, and without notice that it is overdue or has been dishonored or of any defense against or claim to it on the part of any person. §3-302 U:C.C. and §3-305 U.C.C.
Negotiable Instrument Alternative Definition
Any written instrument which may be transferred by indorsement and delivery, or by delivery alone, so as to give the indorsee the legal title, and enable him to sue in his own name. 15 Mo. 337. In a narrower sense, those instruments the indorsee of which, under the law merchant, takes free of certain equities and defenses between the. original parties.

A short definition of Negotiable Instrument: As defined by the Uniform Commercial Code, article 3 – 104: “(1) Any writing to be a negotiable instrument within this article must (A) Be signed by the maker or drawer; and (B) Contain an unconditional promise or order to pay a sum certain in money and no other promise, order, obligation or power given by the maker or drawer except as authorized by this article; and (C) Be payable on demand or at a definite time; and (D) Be payable to order or to bearer”. Instruments which may be negotiable are: a draft (bill of exchange); a check: a certificate of deposit; a note.
