Meaning of Implied Contract
A contract may be implied when the conduct of the parties indicates that they were proceeding on the basis of some legal relationship. The term has also been applied to a class of obligations created by law without regard to the assent of the party upon whom the obligation is imposed, on the ground that they are dictated by reason and justice, obligations which are not contract obligations in the true sense, but constructive contracts created by law as where one has received money or its equivalent under such circumstances that in equity and in good conscience he ought not to retain it, in which case the owner may recover in an action in form ex contractu. See People v Dummer, 113 N.E. 934, 274 III. 637.
