English Legal System: Extraordinary Resolution
In the context of the English law, A Dictionary of Law provides the following legal concept of Extraordinary Resolution : A decision reached by a majority of not less than 75% of company members voting in person or by proxy at a general meeting. It is appropriate in situations specified by the Companies Act 1985, e.g. *voluntary winding-up. At least 14 days’ notice must be given of the intention to propose an extraordinary resolution; if the resolution is to be proposed at the annual general meeting, 21 days’ notice is required.
