Meaning of Call

In commercial sense and in contracts it is a demand for payment . In the context of corporations, demand by a corporation made on the subscribers for shares to pay the unpaid portion of their subscription for the purchase of shares. With respect to securities a call is an option to buy securities. H. Kook & Co. v Scheinman Hochtin & Trotta, (C.A.2) 414 F.2d 93. A negotiable open contract which gives the bearer the right to buy from the promissor a specific number of shares of a specific class of stock on and for a certain agreed upon date. See Securities & exchange commission v Texas Gulf Sulphur Co., (C.A.2)401 F.2d833. As used in instruments of conveyance of real property , the term is a landmark used to signify a boundary of the described land. In bankruptcy law, the term has been used interchangeably with an assessment levied at the time the petition of bankruptcy is filed and which can give rise to a fixed indebtedness provided that the trustee in bankruptcy disclaims all interest in the stock.     What does Call mean in American Law?

    The definition of Call in the law of the United States, as defined by the lexicographer Arthur Leff in his legal dictionary is:

    A term of wide legal application, the constant core meaning of which is the attempted initiation of another”s act under claim of right. Because call is closer to demand than to request, it often is accompanied by some formality. Thus certain members of organizations may be empowered (e.g., by bylaws) to “call” a meeting, and by the terms of some obligations (e.g., notes, bonds) the creditor may be given the right to “call” them under certain circumstances (e.g., the borrower”s insolvency), i.e., to demand early payment. An important modem use of “call” refers to a right to demand that a certain quantity of securities, especially shares of common stock, be delivered at a particular price by a particular date (for more details on which see put, call, and straddle). See also option. “Call,” however, is used very differently by conveyancers, to mean any reference in a real property description (e.g., to an artificial marker, a natural object, a distance between or among them, etc.) used to delineate the extent and shape of the property being conveyed or encumbered.

    English Legal System: Call

    In the context of the English law, A Dictionary of Law provides the following legal concept of Call :

    1. A ceremony at which students of the Inns of Court become barristers. The name of the student is read out and he is “called to the Bar” by the Treasurer of his In Call ceremonies take place four times a year, once in each dining term.

    2. A demand by a company under the terms of the articles of association or an ordinary resolution requiring company members to pay up fully or in part the nominal value of their shares. Unless the articles provide otherwise, calls must be made equally upon all shareholders of the same class. Calls should be distinguished from instalments, which become due upon a date predetermined at the time the shares were issued.

    Legal Usage of So-called in English

    An European Commission document offers the following explanation about the misused of So-called:This is a risky term to use; although some dictionaries allow the meaning ‘commonly known as’, others, like the Collins dictionary, emphasise that its use casts doubt on the veracity of the term it introduces = ‘called (in the speaker’s opinion, wrongly) by that name’. In the example below, it implies that the author wishes to cast doubt on the fact that the system is really transitional. Furthermore, to cite the American heritage dictionary, ‘quotation marks are not used to set off descriptions that follow expressions such as so-called and self-styled, which themselves relieve the writer of responsibility for the attribution’. This use of ‘so-called’ followed by quotation marks is very common in European Union texts (second example) and should be avoided.

    above, ‘so-called’ is superfluous and the other term can stand alone. In other cases we can say ‘known as’ or ‘this is called’. Occasionally we may use inverted commas, though here too there is a risk that they will be misinterpreted.

Example: N 22% E 100′ (1st call), thence N 80% E 100′ (2nd call). (2) To demand payment due to default. Also used when a loan payment is not large enough to amortize the loan. Example: A mortgage payment requiring 20 years to pay in full but for a term of 5 years would be referred to as a 20-year amortization with a 5- year call.
