Meaning of Surety
One who contracts with a creditor that he will be answerable for the debt, default or miscarriage of another who is the principal debtor and primarily liable . See Ellis v Phillips, 363 Mich. 587, 110 N. W.2d 772. Suretyship is to be distinguished from a guarantee which is a collateral undertaking to pay the debt of another in case he does not pay same; Guarantee is an undertaking that the debtor shall pay, suretyship that the debt shall be paid. See Wexler v McLucas, 121 Cal.Rptr. 453, 48 C.A.3d Supp. 9. In a suretyship, both the debtor and the surety are equally liable to the creditor. Vermont Marble Co. v Bavne, 356 III. 127, 190 N.E. 291. The distinction between surety and guarantor is not maintained in uniform commercial code which under §1-201(40) defines surety as including a guarantor.
