Meaning of Joint Venture

An association of two or more persons to carry out a single business enterprise for profit for which purpose they combine their property and services. See O’Hara v Architects Hartung & Ass’n., 326 N.E.2d 283, 163 Ind.App. 661. The essentials of a joint venture are an association of persons undertaking some commercial enterprise; a community of interest in the performance of the common purpose, a proprietary interest in the subject matter; a right to direct and govern the policy in connection therewith; and a duty, which may be altered by agreement , to share both in profit and losses. See Russell v Klein, 339 N.E.2d510, 331!!.App.3d 1005.

In this regard, joint venture is: a cooperative association between two or more firms or individuals to carry out a specific activity.
