Meaning of Insider

In modern corporate law, the term insider has a peculiar meaning, generally denoting a person who by reason of the percentage of the corporation ‘s shares that he holds or controls or by reason of his position in that company as an officer or director has information on the company’s affairs which is not available to the general public and who, as a result of his status , is to follow strict requirements of disclosure before he trades in the stock of that corporation.
